# Dealroom — LLM Context

> Dealroom is a two-party asynchronous contract negotiation platform built by TODO.LAW. It replaces emailing Word files back and forth with a shared workspace that proposes a compromise for each clause using a fixed, published weighted formula (no AI model decides the outcome).

## Hosted and the kit

- **dealroom.todo.law charges per contract.** Drafting and negotiating are free. Each contract is paid once, at the price shown on the pricing page, when it is first downloaded (PDF, DOCX or TXT) or when its signature starts. Every contract skill, premium ones included, is covered by that price. There is no monthly plan.
- **Agents pay per contract too.** An agent pays for each agreed contract with one prepaid credit, spent when the contract document is first fetched. Credits are sold in packs of ten and belong to the customer account, so any of its API keys can spend them. The current amounts are in the agent card (/.well-known/agent.json, under "pricing").
- **An agent's API key is created by its user, without contacting us.** Sign in at https://dealroom.todo.law, open Settings, API keys (https://dealroom.todo.law/settings/api-keys) and choose Create key. The full key (it starts with drk_) is shown once, so copy it then. The same page lists your keys with their last use, revokes them, shows the credit balance and sells credit packs. An account can hold up to 5 active keys.
- **The kit (self-hosted Dealroom) has no caps.** Premium skills are sold only for the kit: 60 a year each in the kit (in your currency), bought on the todo.law storefront and activated offline with a licence file.

## Make a contract in one call (developers and agents)

- **Quick start:** https://dealroom.todo.law/developers (Spanish: https://dealroom.todo.law/es/developers). Three steps: create an API key at /settings/api-keys, buy credits on the same page, make the call. Plain Markdown of the same page: https://dealroom.todo.law/developers.md (Spanish: https://dealroom.todo.law/es/developers.md), with every contract type in a table.
- **One REST call:** `POST https://dealroom.todo.law/api/v1/agent/contracts` with `Authorization: Bearer drk_...` and a JSON body: `contractType` (code such as `NDA`, or the guide slug such as `nda`), `party` (your side: `legalName`, optional `address`, `taxId`, `signatoryName`, `signatoryTitle`, `email`), optional `counterparty` (same shape; left out, the other side's block stays blank), `governingLaw` (needed only when the type offers more than one), optional `language`, `role` (DPA and BAA), `terms` (inputs by id), `clauses` (clause id to option code) and `inline` (`md`, `html` or `txt`: the contract itself in the answer). Clauses left out take the standard option. The answer gives `dealId`, `dealUrl` (to read it in Dealroom), the Markdown, HTML, TXT, PDF and DOCX links and, with `inline`, the contract.
- **Formats:** every contract can be fetched as Markdown (`/api/v1/agent/deals/{dealId}/document/md`, best for agents), self-contained HTML (`/document/html`, one section per clause with stable ids), plain text (`/document/txt`), PDF (`/document`) or DOCX (`/document/docx`). All come from the same contract text; once the contract is paid, every format is free.
- **What it costs:** the same as any contract. One prepaid credit is spent; with no credit the answer is HTTP 402 with code PAYMENT_REQUIRED and nothing is created. Later downloads of the same contract are free. Send an `Idempotency-Key` header on retries so a retry is not charged again.
- **What each type needs:** `GET https://dealroom.todo.law/api/v1/agent/contract-types` (no key; `?lang=es` for Spanish): codes, slugs, governing laws, languages, roles and inputs.
- **MCP server:** `https://dealroom.todo.law/api/v1/agent/mcp` (Streamable HTTP; API key in the Authorization header). Tools include `list_contract_types`, `generate_contract` (returns the contract as Markdown by default), `download_contract` (Markdown by default; also HTML, PDF, DOCX, TXT), `buy_credits` and `get_credit_balance`, plus the negotiation tools. ## What Dealroom Does

- **Two-Party Negotiation**: Asynchronous contract negotiation between two parties on a shared workspace
- **Weighted Compromise**: A fixed formula, stake = ((5 - flexibility) / 5 × 0.6) + (|bias| × 0.4), proposes a compromise for each clause from each party's firmness and the bias of each option; it is documented at /docs/compromise
- **Access and transport**: Connections use HTTPS; access to each deal is checked on the server and only the deal's parties can download its documents. Contract content is stored in the service's database and is not end-to-end encrypted
- **Cross-Border Ready**: Supports California, England & Wales, and Spain jurisdictions
- **Contract Types**: 37 contract types, each with a guide listed above, including NDA, MSA, SaaS Agreement, DPA, Privacy Notice, Joint Venture, Employment, Consulting, and more
