What it is and when it is used
General meeting minutes (in Spanish, acta de junta general) are the written record of a general meeting of the members of a Spanish company. The general meeting is where the members, as owners of the company, take the decisions that belong to them. The minutes record those decisions so that the company has a reliable account of them.
The Dealroom skill covers both kinds of general meeting:
- the ordinary general meeting; and
- the extraordinary general meeting.
The minutes are prepared under the Ley de Sociedades de Capital, the Spanish law that governs capital companies, including how their general meetings take decisions.
The skill is made up of 8 clauses.
Who signs it
General meeting minutes are not a contract between two sides. They are a record kept by the company about a decision of its members. Who must approve and sign the minutes is set by Spanish company law and by the company's own rules, which is why the skill is built on the Ley de Sociedades de Capital.
For decisions of the board of directors rather than the members, see board minutes (Spain).
Jurisdictions and languages
Dealroom offers these minutes for Spain only and drafts them in Spanish only, as they are a record of a Spanish company kept under Spanish law. This page explains the document in English, but the minutes themselves are produced in Spanish.
One person can prepare the minutes alone in Dealroom, which suits a company record of this kind.
