What it is and when it is used

An individual phantom shares grant (in Spanish, asignación individual de phantom shares) is the agreement by which a Spanish company grants phantom shares to one beneficiary. Phantom shares are notional units linked to the company: they do not make the beneficiary a member of the company.

The grant is always made under the master plan. The company first adopts its phantom shares plan, which sets the general rules of the scheme, and then signs one grant agreement with each person who takes part. The grant deals with that person's own award, while the general rules stay in the plan.

The Dealroom skill for the grant negotiates 6 clauses.

Who signs it

The grant is signed by the company, which makes the award, and by the beneficiary, the individual who receives it.

Because the grant is made under the plan, the two documents work together. To understand the full terms of an award, the beneficiary should read the individual grant alongside the master plan it refers to.

Jurisdictions and languages

Dealroom offers the individual grant for Spain only, and drafts it in Spanish only. This page explains the document in English, but the grant itself is produced in Spanish.

The grant and the master plan are separate skills in Dealroom. Prepare the plan first, then one grant for each beneficiary.

Frequently asked questions

What is a phantom shares grant agreement?

It is the individual agreement by which a company grants phantom shares (participaciones fantasma) to one person. It is made under the company's master phantom shares plan.

Do I need the master plan first?

Yes. The grant is made under the master plan, so the company's phantom shares plan should be in place before individual grants are made.

Which law and language does the grant follow?

It is designed for Spanish companies under Spanish law, and Dealroom drafts it in Spanish only.

Can the company and the beneficiary negotiate the grant in Dealroom?
