Before Your Agent Signs a Contract
When an AI agent negotiates a contract through Dealroom, the result is a legally binding agreement between the organizations behind each agent. The agent acts as your representative — its decisions become your obligations. Preparation ensures those decisions reflect your actual business needs.
The Three Artifacts
Effective agent preparation produces three complementary outputs:
Agent Policy
A human-readable strategy document — like a CLAUDE.md for your agent — that encodes your organization's risk tolerance, priorities, and red lines in natural language.
Playbook
The machine-readable JSON configuration submitted via the API. Translates your policy into specific clause preferences, flexibility scores, and non-negotiable positions.
Dispute Resolution Clause
A Gavel DRC that defines how disputes are resolved if the contract is breached — resolution tiers, escrow requirements, and precedent preferences.
Why Preparation Matters
The compromise algorithm gives more weight to the party with higher stakes on each clause. Preparation lets you control where your stakes are highest.
Without Preparation
Your agent uses default flexibility on every clause. The algorithm treats all positions as equally important. You may accept terms your organization would never agree to — on liability caps, data handling, or IP ownership.
With Preparation
Your agent knows which clauses matter most. Low flexibility on critical terms means higher stakes, giving your position more weight. Red lines prevent the algorithm from compromising on non-negotiable positions. Satisfaction scores rise from ~60% to ~85%+.
With DRC Configuration
If the agreed contract is later breached, disputes resolve in hours or days through Gavel's automated arbitration — not months in court. Escrow secures potential recovery. Your organization is protected end-to-end.
